Terms & Conditions of Sale

1. Who we are

This website, newupvcwindows.co.uk (the "Site"), is operated by Inbray Limited, trading as New uPVC Windows, a company registered in England and Wales.

These terms apply to all orders placed through the Site. By placing an order you agree to these terms. Please read them carefully — in particular section 5 (Your measurements) and section 8 (Cancellation of made-to-measure goods), which affect your legal rights.

2. What we sell

We supply made-to-measure uPVC windows, doors, and associated products on a supply-only basis. We do not carry out surveys, site visits, or installation. Every product is manufactured individually to the dimensions and specifications you enter when configuring your order.

3. Placing an order

When you place an order through the Site, you are making an offer to purchase. Our acceptance takes place when we send you written confirmation that your order has been accepted for manufacture (an on-screen order reference alone is not acceptance). We may decline or cancel an order before acceptance for any reason, including pricing or product-description errors, in which case any payment made will be refunded in full.

Manufacture will not begin until your order has been accepted and payment (or agreed credit terms for approved trade accounts) is in place.

4. Prices and payment

All prices on the Site are shown in pounds sterling and include VAT at the prevailing rate unless stated otherwise. Delivery charges are calculated at checkout and shown before you place your order.

If a pricing error is obvious and unmistakeable and could reasonably have been recognised as an error, we are not obliged to supply at the incorrect price. We will contact you to either confirm the correct price or cancel and refund the order.

Trade customers with approved accounts may order on agreed credit terms; those terms form part of the trade account agreement and take precedence over this section where they differ.

5. Your measurements and specifications — important

Because we supply on a supply-only basis:

  • You are solely responsible for the accuracy of all dimensions, configurations, colours, glazing choices, opening directions, handings, and other specifications entered when ordering.
  • We manufacture to the sizes you provide. We do not verify, survey, or check your measurements against your property.
  • Goods manufactured to the sizes and specifications you supplied are not faulty if they do not fit your aperture. No refund, replacement, or remake is available where goods conform to the order you placed.
  • If you are unsure how to measure, contact us before ordering and we will provide guidance — but responsibility for the final figures entered remains yours.

Manufacturing tolerances of +/- 3mm on frame dimensions are standard in the industry and do not constitute a defect.

6. Building Regulations and compliance

Replacement windows and doors in England and Wales are controlled work under the Building Regulations (including Parts F, L, and, for new dwellings, Q). As we supply only and do not install:

  • You (or your installer) are responsible for ensuring the products you order, and their installation, comply with applicable Building Regulations, and for arranging certification — either through an installer registered with a competent person scheme (e.g. FENSA or Certass) or by notifying local authority Building Control.
  • We do not issue FENSA/Certass certificates for supply-only orders.
  • Where your configuration omits items that may be required for compliance at your property (for example trickle ventilators or fire-escape openings), it is your responsibility to select them.

7. Delivery

Estimated lead times are shown at checkout and in your order confirmation and run from acceptance of your order (and receipt of payment where applicable). Lead times are estimates, not guarantees; we are not liable for losses caused by reasonable delays. Do not book installers until you have received and inspected your goods.

Delivery is to kerbside at the delivery address you provide by a single driver. You are responsible for unloading the vehicle, and someone must be present with sufficient help to do so safely. You must inspect the goods on delivery and note any visible damage with the driver.

You must report any damage, defect, or shortage to us in writing (with photographs) within 72 hours of delivery. Claims for visible transit damage reported after this period may be declined, as we cannot then establish when the damage occurred. This does not affect your statutory rights in respect of latent faults.

Risk in the goods passes to you on delivery. Ownership passes when we have received payment in full.

8. Cancellation of made-to-measure goods — important

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers normally have a 14-day right to cancel distance purchases. However, that right does not apply to goods made to the consumer's specifications or clearly personalised (regulation 28(1)(b)).

All products sold through this Site are made to measure to your specifications. The 14-day cancellation right therefore does not apply once manufacture has begun.

  • You may cancel an order at no charge at any time before manufacture begins. Contact us as soon as possible; we will confirm whether manufacture has started.
  • Once manufacture has begun, the order cannot be cancelled and no refund is due for change of mind, ordering errors, or goods that do not fit due to incorrect measurements supplied by you.

Nothing in this section affects your rights in respect of faulty goods (section 9).

9. Faulty goods — your statutory rights

Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015. Goods must be of satisfactory quality, fit for purpose, and as described. If goods are faulty (as opposed to incorrectly measured by you):

  • Within 30 days of delivery you may reject faulty goods for a full refund.
  • After 30 days you are entitled to a repair or replacement, and to a price reduction or refund if repair or replacement fails.

10. Guarantee

Our products are guaranteed as follows:

  • uPVC frames — 10 years against discolouration. This does not apply where the frames have been cleaned with unsuitable products (use warm soapy water only — no solvents, abrasives, or bleach).
  • Glass sealed units — 5 years against unit failure (such as misting or seal breakdown). Breakage after delivery has been accepted is not covered.
  • Hardware — 12 months (handles, hinges, locks, and other fittings).

Where a valid guarantee claim is accepted we will supply replacement parts free of charge, but as a supply-only business we do not fit them — installation of replacement parts is your responsibility. The guarantee is subject to correct installation, use, and maintenance, and does not cover damage caused by installation, misuse, neglect, accident, or normal wear. This guarantee is in addition to, and does not affect, your statutory rights.

11. Our liability

We do not exclude or limit liability for death or personal injury caused by our negligence, fraud, or any liability that cannot lawfully be excluded.

Subject to that, we are not liable for: installation costs, installer cancellation charges, or other costs incurred in reliance on estimated delivery dates; losses arising from inaccurate measurements or specifications you supplied; business losses where you buy as a consumer; or indirect or consequential losses. Our total liability in connection with any order shall not exceed the price paid for that order.

12. Trade customers

Where you purchase in the course of business: the Consumer Contracts Regulations 2013 and Consumer Rights Act 2015 consumer protections do not apply; goods are supplied under these terms and any signed trade account agreement; and liability for defects is limited to repair, replacement, or refund at our option.

13. General

  • Events beyond our control. We are not liable for delay or failure caused by events beyond our reasonable control, including supplier failure, transport disruption, or extreme weather.
  • Complaints. Contact us at sales@newupvcwindows.co.uk and we will respond within 5 working days. If we cannot resolve a dispute, you may be able to use the EU/UK online dispute resolution routes or an ADR provider; details available on request.
  • Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction (consumers resident in Scotland or Northern Ireland may also bring proceedings locally).
  • If any part of these terms is found unenforceable, the remainder continues in force.
